1. Agreement to Terms

Welcome to GradeSpace. These Terms of Service ("Terms") govern your access to and use of our website, educational platform, client services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Acceptance of Terms: By creating an account, enrolling in a course, subscribing to our services, or otherwise accessing our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Modifications: We reserve the right to modify these Terms at any time. Material changes will be notified via email and prominently posted on our website at least 30 days before taking effect. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

2. Definitions

"GradeSpace", "we", "us", or "our" refers to Gradespace LTD, the company providing the Services.

"User", "you", or "your" refers to any individual or entity accessing or using our Services.

"Client" refers to a user who has entered into a service agreement for professional services.

"Learner" or "Student" refers to a user enrolled in one or more educational courses on our platform.

"Instructor" refers to a user authorized to create, manage, and deliver educational content.

"Content" refers to any text, images, videos, code, assignments, quizzes, or other materials uploaded, transmitted, or made available through our Services.

3. Eligibility and Account Registration

Age Requirements: To use our Services, you must:

  • Be at least 18 years of age, OR
  • Be at least 13 years of age with verifiable parental or guardian consent, OR
  • Access our platform through a school or educational institution that has obtained appropriate permissions

Account Creation: When registering, you must:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Choose a secure password and keep it confidential
  • Not share your account credentials with others
  • Notify us immediately of any unauthorized access

Account Suspension: We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent behavior, or remain inactive for extended periods.

4. Educational Services and Course Access

Course Enrollment

Enrollment grants access to lessons, materials, and assessments. Access duration varies by course and payment model.

Assignments & Grading

Learners must submit original work. Instructors have discretion over grading. We do not guarantee specific grades or outcomes.

Certificates

Completion certificates are issued upon meeting requirements. We do not guarantee recognition by external institutions.

Course Updates

We reserve the right to update content, retire courses, or modify structure and pricing at any time.

5. Subscriptions and Recurring Billing

Billing: Subscriptions are billed automatically on a recurring basis. You authorize us to charge your payment method via Stripe.

Renewal: Subscriptions automatically renew unless canceled before the renewal date.

Cancellation: You may cancel anytime. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

Refund Policy: Subscription fees are generally non-refundable. Refunds may be provided for technical issues or billing errors at our discretion.

6. Professional Services for Clients

Professional services (Web Development, SEO, etc.) are governed by specific service agreements which supplement these Terms.

  • Deliverables: Ownership is specified in your service agreement (typically transfers upon full payment).
  • Client Portal: Access provided for project management; credentials must be kept confidential.
  • Responsibilities: Provide necessary content/assets timely and adhere to payment terms.

7. Payment Terms

We accept credit/debit cards via Stripe and bank transfers. You are responsible for all applicable taxes.

Late payments for professional services may incur interest at 1.5% per month. We reserve the right to suspend services for overdue accounts.

8. Acceptable Use and Academic Integrity

You agree NOT to:

Violate laws or third-party rights

Submit plagiarized work or cheat on assessments

Share account credentials or access others' accounts

Distribute malicious code or engage in automated scraping

Harass, abuse, or harm other users or staff

Upload or distribute illegal, offensive, or infringing content

Interfere with or disrupt the integrity or performance of our Services

Violations may result in account suspension, removal of content, or forfeiture of certificates.

9. Intellectual Property Rights

Our Content: All platform content is property of GradeSpace. You get a limited license to access it for personal/educational use. You may not copy, modify, or distribute our content without permission.

Your Content: You retain ownership of content you submit. By submitting content, you grant us a worldwide, royalty-free license to use it for providing and improving our Services.

Client Work Product: For professional services, ownership of deliverables is governed by your service agreement (typically transfers to client upon full payment).

10. User Content and Conduct

Content Standards: All content must be accurate, lawful, and appropriate. No hate speech, harassment, or explicit content.

Monitoring: We reserve the right to monitor user content and remove anything that violates our policies.

11. Disclaimers and Limitations of Liability

"AS IS" Service: Services are provided without warranties of any kind. We do not guarantee specific learning outcomes, uninterrupted operation, or error-free service.

Limitation of Liability: To the maximum extent permitted by law, GradeSpace is not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid in the last 12 months or £100.

12. Indemnification

You agree to indemnify and hold harmless GradeSpace from any claims, damages, or expenses arising from your use of our Services, your violation of these Terms, or your violation of any third-party rights.

13. Termination

By You: You may terminate your account at any time by contacting support.

By Us: We may suspend or terminate your account for violations of these Terms or illegal conduct.

Effect: Upon termination, access ceases immediately. Provisions regarding ownership, liability, and indemnification survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales.

You agree to attempt informal resolution for 30 days before filing a claim. You waive any right to participate in class actions.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and GradeSpace.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce a right does not constitute a waiver.
  • Assignment: You may not assign these Terms without consent.
